1. Introduction

These Terms and Conditions (“Terms”) govern the business relationship between Exclusive Expert Media (Pty) Ltd (“EE Media”, “we”, “our”, “us”) and the client (“you”, “your”).
By engaging EE Media’s services, you agree to these Terms in full.

2. Scope of Services

EE Media provides professional digital marketing and advertising services, including but not limited to:

Social media management (Facebook, Instagram, LinkedIn)

Paid advertising (Meta, Google, LinkedIn Ads)

Google Business Profile setup and optimisation

Graphic design, branding, and content creation

Website and landing page design

Reporting, analytics, and SEO
All services are customised according to the client’s package and business needs.

3. Agreement Duration & Cancellation

3.1. All client agreements are month-to-month unless otherwise stated in writing.
3.2. Either party may cancel this agreement by providing 30 days’ written notice, effective from the end of the current month.
3.3. Cancellations must be sent in writing to johan@ee-media.co.za
only.
3.4. Any services, ad campaigns, or creative materials scheduled within the 30-day notice period will remain billable.

4. Payment Terms

4.1. Invoices are due within 7 days of issue.
4.2. Late payments may accrue interest at the rate permitted by law.
4.3. EE Media reserves the right to convert manual payments to a monthly debit order if payments are inconsistent or repeatedly late.
4.4. Accounts overdue by more than 90 days may be handed over to a legal or debt-recovery partner.
4.5. All costs related to the recovery of overdue accounts — including legal fees, collection commission, and administrative charges — will be for the client’s account.
4.6. EE Media reserves the right to pause or suspend all campaigns until full payment has been received.

5. Ownership of Content & Platforms

5.1. All creative work, ad accounts, and digital assets (including social pages, landing pages, and Google profiles) remain the property of EE Media until all invoices have been settled in full.
5.2. In the event of a payment dispute or outstanding balance, EE Media reserves the right to retain ownership and access to all created platforms and marketing materials where arrears exist.
5.3. Upon full settlement of the account, ownership of the relevant content or platforms will be transferred to the client.

6. Performance Disclaimer

6.1. EE Media provides professional strategy, creative design, and campaign management to achieve the best possible outcomes.
6.2. However, EE Media cannot guarantee specific results such as sales volume, lead quantity, engagement levels, or search ranking, as these are influenced by external market and platform factors.

7. Confidentiality & POPIA Compliance

7.1. EE Media is fully POPIA compliant and treats all client information, marketing data, and campaign results as strictly confidential.
7.2. No personal or business data will be shared, sold, or disclosed to any third party without written consent, unless required by law.

8. Termination for Breach

8.1. EE Media reserves the right to pause or terminate any ongoing services if:

Invoices remain unpaid beyond the due date, or

Communication from the client ceases for an extended period (e.g., no feedback or approval for over 14 days).
8.2. Reinstatement of services may require a reconnection fee and settlement of any outstanding amounts.

9. Limitation of Liability

EE Media shall not be held liable for any direct, indirect, incidental, or consequential loss or damage arising from the use of our services, including but not limited to missed leads, lost sales, or platform downtime beyond our control.

10. Updates to Terms

These Terms may be updated from time to time to reflect business or legal changes. The latest version will always be published on our website, and the effective date will be displayed above.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of the Republic of South Africa.
